International Data Group, Inc. (IDG) is seeking a Corporate Contracts Counsel  to join its legal team. Reporting to the Associate General Counsel, this position will be responsible for supporting the legal and commercial activities of the organization, including advising leaders on commercial transactions, structure and draft commercial agreements and provide strategic and business input where relevant and appropriate.  

 

Responsibilities

  • Support a fast-moving, international sales team at the intersection of data, media and technology
  • Partner with business colleagues to understand business priorities
  • Provide legal and business support on commercial transactions
  • Structure, negotiate, and draft customer, vendor, technology, as well as data protection and data transfer agreements
  • Review and update contractual templates and maintain version control 
  • Respond to customer inquiries related to the organization’s data security and negotiate terms of related customer contract requirements
  • Advise business partners on legal implications of contracts and commercial transactions

Qualifications

  • Strong negotiating and drafting skills in complex corporate and commercial agreements
  • Ability to appropriately balance legal and business risks
  • Demonstrated ability to think strategically and to identify and resolve legal issues, using sound judgement and practical approaches
  • Ability to work both independently and as a full and valuable member of an integrated business-legal team
  • Highly organized with the ability to manage multiple projects and priorities concurrently and within tight deadlines
  • J.D. from a recognized law school and admission to at least one state bar required (or analogous qualifications and licensing in the United Kingdom)
  • Familiarity drafting and negotiating SaaS, data services and licensing contracts
  • Knowledge of data privacy law
  • Experience responding to customer data security inquiries/questionnaires
  • 5 years of in-house legal experience (data services and/or technology company experience preferred)
  • Highly analytical and detail oriented
  • Strong oral and written communication skills
